End User Agreement

I. Subscription and Access to GENIE Platform (“Platform”)

1.1 Subscription. The Platform is offered on a subscription basis. You must create an account and select a subscription plan to access the content and services. Your subscription will automatically renew at the end of the billing period unless you cancel it in accordance with the terms of your subscription plan. 1.2 Fees, Term, and Termination. The fees for the use of the Platform are tied to the membership tier selected by You. The term and termination of Your use of GENIE is concurrent with that of your subscription.

1.3 User Account. You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. You must not share your account with any other person.

1.4 Individual Use. The Platform and its content are for your exclusive, non-commercial use only. You may not resell, sublicense, or otherwise distribute the content or services to any third party.

II. On-Demand Content and AI Tool

2.1 Content Delivery. The Platform provides access to a library of on-demand educational content ("Content"). We reserve the right to add, remove, or modify any Content at our sole discretion. We do not guarantee the continued availability of any specific piece of Content.

2.2 Third-Party Content and Materials. The Platform may contain content from or links to content, data, information, and materials that are created by third parties (“Third Party Materials”). The Third Party Materials may contain errors, be incomplete, or be offensive or objectionable. You understand that you access and rely on these Third Party Materials at your own risk. The University has no control over the content or privacy policies of third party websites or advertisers that you may link to through or in their websites. If You visit a linked website, be aware that the third party operating that website may have access to any information that you submit via that website. The University is not responsible for any third party’s failure to abide by its privacy policy.

2.3 AI Tool. As part of your subscription, you may have access to an AI-powered tool ("AI Tool"). The AI Tool is designed to assist you by delivering content, summarizing information, and guiding you to relevant materials on the Platform.

2.4 No Professional Advice. The Content and the AI Tool are for informational and educational purposes only. They are not a substitute for professional, financial, legal, or other expert advice. You are solely responsible for any decisions you make based on the information provided by the Platform or the AI Tool.

2.5 Limitations of AI. The AI Tool may produce inaccurate, incomplete, or biased information. It is your responsibility to critically evaluate any output from the AI Tool and to verify its accuracy. We do not guarantee the accuracy, completeness, or reliability of any output from the AI Tool.

2.6 User Input. Any text, data, or other information you input into the AI Tool ("User Input") is your sole responsibility. You agree not to input any sensitive, confidential, or personally identifiable information into the AI Tool. We are not liable for any damages or losses arising from your use of the AI Tool with sensitive or confidential information.

2.7 Use of User Input. You also grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and analyze your User Input to operate, and improve, the University’s . This license does not grant us ownership of your User Input. However, you acknowledge that anonymized and aggregated data derived from your User Input may be used to enhance the functionality and performance of the AI Tool and our other services.

2.8 Privacy. Please review the University’s Privacy Notice to learn about the information the University may collect from or about you when you use the Platform and how We may process it.

IIi. Intellectual Property Rights

3.1 Platform Ownership. All content, features, and functionality on the Platform, including but not limited to the Content, the AI Tool, software, text, graphics, logos, and trademarks, are licensed to or are the exclusive property of Georgia Southern University and are protected by copyright, trademark, and other intellectual property laws.

3.2 Limited License. Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use during your subscription term.

3.3 Restrictions. You may not copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any Content or other material on the Platform for any purpose not expressly permitted by this Agreement without our prior written consent. You may not reverse-engineer, decompile, or disassemble the AI Tool or any other part of the Platform.

IV. Prohibited Uses of Platform

You agree not to use the Platform for any of the following prohibited activities:

Violating any applicable federal, state, or local law or regulation.
Infringing upon or violating our intellectual property rights or the rights of others.
Using any automated means, such as bots, spiders, or scrapers, to access or collect information from the Platform.
Attempting to interfere with the proper working of the Platform or its security.
Engaging in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform.
Uploading or transmitting any malicious code, viruses, or other harmful data.
Anything else prohibited by Sections 5 and 6 of CircleCo’s Platform Terms of Service and incorporated herein by reference.

IV. Disclaimer of Warranties

THE PLATFORM, INCLUDING THE CONTENT AND THE AI TOOL, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

THE UNIVERSITY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM OR THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR AI TOOL OUTPUT.
